1. Agreement Overview

These Terms of Service ("Terms") govern the relationship between you ("Client") and Frost Media Designs ("we," "us," or "our") for web design and development services. By engaging our services, you agree to these terms.

2. Services Provided

Web Design & Development

  • • Custom website design and development
  • • Hand-coded HTML, CSS, and JavaScript
  • • Responsive design for all devices
  • • Basic SEO optimization
  • • Content management system setup

Additional Services

  • • Logo and branding design
  • • Website hosting assistance
  • • Domain registration guidance
  • • Basic training on content updates
  • • Ongoing maintenance (separate agreement)

Note: Specific services and deliverables will be outlined in your individual project proposal and contract.

3. Payment Terms

Payment Schedule

  • 50% deposit required to start project
  • 50% final payment due upon completion
  • • Large projects may have milestone payments
  • • All payments due within 7 days of invoice

Payment Methods

  • • E-transfer (preferred)
  • • PayPal
  • • Credit card (processing fees apply)
  • • Check (Canadian clients only)

Late Payment Policy

Invoices not paid within 15 days are subject to a 2% monthly service charge. Work may be suspended on overdue accounts.

Timeline Factors

  • • Typical projects: 2-6 weeks from deposit to launch
  • • Timeline depends on project complexity and client responsiveness
  • • Delays may occur if client feedback is not provided within 5 business days
  • • Rush projects may incur additional fees (25-50% surcharge)

5. Revisions & Changes

Included Revisions

  • • Up to 3 rounds of revisions included
  • • Minor content and design adjustments
  • • Color and font modifications
  • • Layout refinements within original scope

Additional Revisions

  • • $150/hour for additional revisions
  • • Major scope changes require new agreement
  • • All change requests must be in writing
  • • Additional features quoted separately

6. Client Responsibilities

You Are Responsible For:

Content & Materials

  • • Providing all text content
  • • Supplying images and media files
  • • Ensuring content accuracy
  • • Copyright compliance for all materials

Communication & Access

  • • Timely feedback (within 5 business days)
  • • Providing hosting access when needed
  • • Domain registration or transfer
  • • Clear project requirements

Important: Delays in providing required materials or feedback may extend project timeline. Projects inactive for over 30 days may be cancelled with no refund.

7. Intellectual Property & Ownership

You Own:

  • • Final website code and design (after full payment)
  • • All content you provide
  • • Custom graphics created for your project
  • • Right to modify website after completion

We Retain:

  • • Right to display work in our portfolio
  • • General methodologies and techniques
  • • Pre-existing code libraries and frameworks
  • • Rights to third-party tools and plugins

Note: Ownership transfers only after full payment is received. We reserve the right to remove or disable websites for non-payment.

8. Warranty & Support

30-Day Warranty

We provide 30 days of free support for:

  • • Bug fixes and technical issues
  • • Browser compatibility problems
  • • Basic functionality problems
  • • Training on content management

Not Covered:

  • • Content updates or additions
  • • New feature requests
  • • Third-party plugin issues
  • • Hosting or server problems
  • • Issues caused by client modifications

9. Limitation of Liability

Our liability for any claim related to our services is limited to the total amount paid for the specific project. We are not liable for:

  • • Lost profits or business opportunities
  • • Indirect or consequential damages
  • • Third-party content or services
  • • Website downtime or hosting issues
  • • Search engine ranking changes
  • • Data loss or security breaches

10. Cancellation & Refund Policy

Client Cancellation

  • • Must be requested in writing
  • • Deposit is non-refundable
  • • Client pays for work completed to date
  • • Partial deliverables may be provided

Our Cancellation Rights

  • • Non-payment of invoices
  • • Client unresponsiveness (30+ days)
  • • Unreasonable or abusive behavior
  • • Violation of these terms

11. Governing Law & Disputes

Governing Law: These terms are governed by the laws of Alberta, Canada.

Dispute Resolution: Any disputes will be resolved through mediation in Alberta, Canada. If mediation fails, disputes will be handled in Alberta courts.

Force Majeure: We are not liable for delays caused by circumstances beyond our control (natural disasters, pandemics, etc.).

12. Updates to These Terms

We may update these terms occasionally. Changes will be posted on our website with a new effective date. Continued use of our services after changes constitutes acceptance of new terms.

Current projects will continue under the terms agreed upon at project start unless both parties agree to new terms in writing.
